Draft Board Resolution for Appointment of Additional Director with designation of Whole-time Director

Resolved That pursuant to the provisions Section 161(1) and Section 196 of the Companies Act, 2013 read with Rule 8, 9 and 14 of Companies (Appointment and Qualification of Directors) Rules, 2014 and other applicable provisions of the Companies Act, 2013, (including any statutory modifications or re-enactment thereof) and provisions of the Articles of Association of the Company, Mr. ______ [Name of the Director], holding DIN ______, be and is hereby appointed as an Additional Director on the Board of the Company with immediate effect and he shall be designated as a Whole-time Director and shall hold office for a period of 5 years from the date of his appointment subject to ratification of his appointment as Director by Members in forthcoming Annual General Meeting of the Company (“AGM”) to be held for the Financial Year 20______-______.
