Draft Board Resolution for Approval of further Issue of Equity Shares on Rights Basis and approval letter of offer

Resolved That pursuant to the provisions of Section 62(1)(a) and any other applicable provisions of Companies Act, 2013 read with Rules thereunder (including any statutory modifications or re-enactment thereof, for the time being in force), the consent of the Board of Directors of the Company be and is hereby accorded to issue _____ [No. of Equity Shares] (in words) Equity Shares at a face value of Rs. _____ [Face value per share] at a premium of _____ [ Premium per share] amounting to _____ [Total amount of the Equity Shares issued] (in words) to the existing Shareholders of the Company in the proportion of the existing shareholding as on the date of Board Meeting/date of the offer.
