Draft Board Resolution for considering the appointment of Statutory Auditors of the Company to fill the casual vacancy caused due to resignation

Resolved That pursuant to the provisions of Section 139(8) and other applicable provisions of the Companies Act, 2013 read with rules made thereunder (including any statutory modification(s) or re-enactment thereof for the time being in force), and subject to the approval of members in the forthcoming General Meeting, consent of the Board of Directors of the Company be and is hereby accorded to appoint ______ [Name of the Auditor] ______ [Auditor/Firm Registration No.] as Statutory Auditor of the Company to fill the Casual Vacancy caused by the resignation of ______ [Name of the resigning Auditor] ______ [Auditor/Firm Registration No.].

Resolved Further That ______ [Name of the Auditor], Firm ______ [Auditor/Firm Registration No.] and [Auditor/Firm Registration No.] shall hold office up to the conclusion of the next Annual General Meeting and that they shall conduct the Statutory Audit for the financial year ending/ended on 31st March, 20 ______ at a remuneration as may be decided by the shareholders of the Company.

Resolved Further That Mr./ Ms. ______ [Name and Designation of the authorized person] of the Company be and is hereby authorized severally, on behalf of the Company, to file necessary E-form/returns with Registrar of Companies and to do all acts, deeds, matters and things as deem necessary for the purpose of giving effect to the aforesaid resolution.
